These terms govern your access to and use of TheContractorsToolbox website and construction compliance platform.

1. Agreement to these terms
These Terms of Service ("Terms") govern access to and use of the TheContractorsToolbox website, platform, mobile experiences, APIs, documentation, and related services (collectively, the "Services") provided by TheContractorsToolbox ("we", "us", or "our").
By creating an account, starting a trial, purchasing a subscription, or otherwise using the Services, you agree to these Terms on behalf of yourself and the organisation you represent. If you do not agree, do not use the Services.
2. Eligibility and authority
The Services are intended for business and professional use by contractors, construction companies, compliance teams, site supervisors, and related organisations operating in the United Kingdom unless otherwise agreed in writing.
You represent that you have authority to bind your organisation to these Terms and that all registration information you provide is accurate, current, and complete.
3. Accounts and access
You are responsible for maintaining the confidentiality of account credentials and for all activity occurring under your account or within your organisation's workspace, whether or not authorised by you.
You must promptly notify us of any suspected unauthorised access or security incident affecting your account. We may suspend or restrict access where we reasonably believe there is a security risk, misuse, or breach of these Terms.
4. Subscriptions, trials, and payment
Access to certain features may require a paid subscription or approved trial. Fees, billing intervals, user limits, and plan features are described at the point of purchase or in your order documentation.
Unless stated otherwise, subscriptions renew automatically for successive billing periods until cancelled in accordance with your plan terms. You authorise us and our payment providers to charge applicable fees, taxes, and adjustments using your selected payment method.
We may change pricing or plan features for future billing periods by giving reasonable notice. Continued use after the effective date of a pricing change constitutes acceptance of the updated fees for renewal periods.
5. Permitted use
You may use the Services only for lawful business purposes related to construction operations, compliance management, inspections, documentation, reporting, and workforce safety workflows supported by the platform.
You must not misuse the Services, interfere with their operation, attempt to gain unauthorised access, reverse engineer the platform except where permitted by law, upload malicious code, infringe third-party rights, or use the Services in a manner that violates applicable law or regulatory requirements.
6. Customer content and compliance responsibility
You retain ownership of information, documents, records, images, signatures, and other content you or your users submit to the Services ("Customer Content"). You grant us a limited licence to host, process, transmit, display, and back up Customer Content solely to provide and improve the Services and fulfil our contractual obligations.
You are responsible for the accuracy, legality, and completeness of Customer Content and for determining whether the Services meet your regulatory, contractual, and site-specific compliance obligations. The Services are a tool to support compliance workflows and do not replace professional judgement, legal advice, or statutory duties.
7. Intellectual property
We and our licensors retain all rights, title, and interest in the Services, software, branding, documentation, templates, designs, and underlying technology, excluding Customer Content.
No rights are granted except as expressly stated in these Terms. You may not copy, modify, distribute, sell, lease, or create derivative works from the Services except as permitted by applicable law or written agreement.
8. Confidentiality
Each party may receive confidential information from the other in connection with the Services. The receiving party will use such information only to perform under these Terms and will protect it using reasonable care.
Confidentiality obligations do not apply to information that is public without breach, independently developed, lawfully received from a third party, or required to be disclosed by law, provided reasonable notice is given where legally permitted.
9. Availability and support
We use commercially reasonable efforts to make the Services available, but uninterrupted or error-free operation is not guaranteed. Planned maintenance, emergency maintenance, third-party outages, and events outside our reasonable control may affect availability.
Support levels, response targets, and onboarding services may vary by plan or enterprise agreement.
10. Disclaimers
Except as expressly stated in a written agreement, the Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Services will meet all regulatory outcomes, audit results, or site-specific safety requirements without appropriate customer review, configuration, and operational controls.
11. Limitation of liability
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
Subject to the foregoing, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, business interruption, or loss of data, even if advised of the possibility of such damages.
Subject to the foregoing, our total aggregate liability arising out of or relating to the Services or these Terms will not exceed the fees paid or payable by you for the Services in the twelve months preceding the event giving rise to the claim, except where a separate written agreement states otherwise.
12. Indemnity
You will defend, indemnify, and hold harmless TheContractorsToolbox and its affiliates, officers, directors, employees, and agents from claims, damages, losses, and expenses arising out of Customer Content, your use of the Services in breach of these Terms, or your violation of applicable law or third-party rights, except to the extent caused by our wilful misconduct or breach of these Terms.
13. Suspension and termination
You may stop using the Services and cancel subscriptions in accordance with your plan terms. We may suspend or terminate access if you materially breach these Terms, fail to pay fees when due, pose a security risk, or if required by law.
Upon termination, your right to access the Services ends. We may retain and delete Customer Content in accordance with our data retention practices, applicable law, and any separate data processing terms.
14. Data protection
Each party will comply with applicable data protection laws. Where we process personal data on your behalf, our processing will be governed by our Privacy Policy and, where applicable, a data processing agreement or equivalent contractual terms.
15. Changes to these Terms
We may update these Terms from time to time. If changes are material, we will provide reasonable notice through the Services, by email, or by other appropriate means. Continued use after the effective date of updated Terms constitutes acceptance, except where applicable law requires a different approach.
16. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction over disputes arising out of or relating to these Terms, subject to any mandatory rights you may have under applicable law.
